Terms of Service
These Terms of Service (“Terms”) govern your access to and use of the Let’s Wallet IT platform and services (“Service”) provided by Manomay Informatics LLC (“LWI”, “we”, “our”, or “us”). By using our Service, you agree to be bound by these Terms.
If you do not agree, you may not use the Service.
1. Accounts and Access
1.1 Free Accounts
We provide all users with access to a free account. Free accounts are intended for testing and internal evaluation purposes only and are provided “as-is,” without any warranties, guarantees of uptime, or liability.
1.2 Paid Accounts
Users may choose to upgrade to a paid plan (monthly, annual, or one-time) after testing the Service. All upgrades are voluntary and at the user’s discretion.
1.3 Account Security
You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account.
2. Subscriptions, Payments, and Credits
2.1 Billing and Payments
Payments for paid plans are processed via Stripe. Taxes, including VAT or GST where applicable, will be added to invoices.
2.2 No Refunds
All payments are non-refundable. We encourage you to test the Service fully before upgrading.
2.3 Credits
Paid plans include credits that may be used to generate and issue wallet passes.
Unused credits carry forward month to month while your paid subscription is active.
If you cancel or downgrade to a free plan, all unused credits are forfeited.
Credits cannot be refunded, transferred, or reinstated.
Advance purchase of credits may be made by contacting us; such purchases are final and non-refundable.
Overage usage beyond your plan limits will be billed automatically.
2.4 Upgrades, Downgrades, and Cancellations
You may upgrade or downgrade between paid plans at any time, but changes take effect at the next billing cycle.
You may cancel your subscription at any time; cancellations are effective at the end of the current billing cycle.
After cancellation, your account will automatically downgrade to a free plan.
Unused credits and active passes are forfeited upon cancellation. Issued passes may no longer be updated, modified, or deleted.
2.5 Account Deletion
You may delete your account at any time. Account deletion will first cancel your subscription, then permanently delete your data (subject to our data retention policy).
3. Acceptable Use
You agree not to use the Service for any illegal or abusive purposes, including but not limited to:
- Creating passes related to gambling, hate, violence, or other illegal activities
- Spamming, bulk unsolicited messaging, or deceptive marketing
- Phishing, impersonation, or fraudulent activities
- Infringing intellectual property rights of third parties
- Uploading malware, viruses, or harmful code
- Attempting to scrape, copy, reverse engineer, or bypass our systems
- Reselling or white-labeling the Service without our prior written consent
We reserve the right to suspend or terminate accounts engaging in prohibited use, without notice.
4. Suspension and Termination by LWI
We may suspend or terminate your account at our discretion if we believe you have violated these Terms, abused the Service, or posed a security or legal risk.
For free users, we may suspend or delete accounts immediately without liability.
For paid users, if we terminate your account, we may issue a pro-rata refund at our discretion.
5. Service Dependencies
Our Service depends on third-party providers, including but not limited to:
- Amazon Web Services (AWS) for hosting and storage
- Stripe for payments
- Apple and Google for wallet pass issuance and delivery
- Email and chat providers for notifications and support
We are not responsible for outages, downtime, data loss, or breaches caused by third-party providers, including global outages or disruptions in Apple Wallet, Google Wallet, or AWS.
6. Data Protection
6.1 Customer vs. End-User Data
You, the customer, are the controller of any end-user data you upload or use in the Service.
LWI acts only as a processor.
You are solely responsible for ensuring compliance with GDPR, CCPA, and other privacy laws regarding your end-users.
6.2 End-User Rights
If an end-user contacts LWI directly with privacy concerns, we will direct them to you, the customer.
6.3 Indemnification
You agree to indemnify and hold LWI harmless from any claims, liabilities, damages, or expenses arising from your use of the Service, including claims from your end-users, misuse of data, or violation of laws.
7. Data Protection and Roles
You acknowledge that with respect to personal data of your end-users, you act as the controller and Let’s Wallet IT acts as the processor. Our role as processor is further detailed in our Data Processing Agreement (DPA), which forms part of these Terms.
A current list of authorized sub-processors engaged by Let’s Wallet IT is maintained at our Sub-Processor List. By continuing to use the Service, you authorize the use of these sub-processors.
8. Liability and Warranties
8.1 Disclaimer of Warranties
The Service is provided “as-is” without warranties of any kind. We do not guarantee uninterrupted availability, error-free operation, or suitability for your purposes.
8.2 Limitation of Liability
For free users: your sole remedy is to stop using the Service.
For paid users: our total liability to you for any claim shall not exceed the fees you paid to us in the twelve (12) months prior to the claim.
9. Changes to the Service and Terms
We may modify or update the Service or these Terms at any time without prior notice. Continued use of the Service after changes constitutes acceptance.
10. Assignment
We may assign or transfer these Terms in the event of a merger, acquisition, or sale of assets. You may not assign your rights or obligations without our prior written consent.
11. Force Majeure
We are not liable for any failure or delay in performance caused by events beyond our reasonable control, including natural disasters, internet outages, government actions, labor disputes, or third-party service disruptions.
12. Governing Law and Jurisdiction
These Terms are governed by and construed in accordance with the laws of the State of Delaware, USA. Any disputes shall be resolved exclusively in the courts located in Delaware. The governing language of these Terms is U.S. English.
